Terms & Conditions of Service
Please read these binding legal terms carefully before accessing or using the Agendr platform.
Agendr acts strictly as a technological marketplace platform connecting independent specialists ("Providers") with clients ("Clients"). Agendr is not a provider of specialist services, an employer of specialists, or an emergency service. Independent specialists carry their own professional qualifications and liability coverage.
1. Ownership & Company Details
These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "Client", or "Provider") and Agendr ("Company", "Agendr", "we", "us", or "our").
By accessing, browsing, registering for, or using the Agendr web application, mobile applications, or associated API services, you confirm that you have read, understood, and agreed to be bound by these Terms in full.
2. Nature of the Agendr Marketplace
- Independent Contractors: Specialists listed on Agendr operate strictly as independent sole traders or corporate entities. Nothing in these Terms creates an employment, agency, joint venture, or partnership relationship between Agendr and any specialist.
- Service Direct Agreement: When a client books an at-home appointment, the contract for service delivery is directly between the Client and the Specialist. Agendr facilitates payment processing, scheduling, and communication on behalf of the parties.
- Specialist Qualifications & Insurance: Specialists represent and warrant that they maintain all necessary qualifications, certifications, local licenses, and public liability / professional indemnity insurance required to deliver services in the Bailiwick of Jersey or relevant island territories.
3. At-Home Visit Premises & Safety Requirements
Because specialists deliver services directly to client-specified locations, Clients agree to enforce strict safety standards:
• Safe Environment: Clients must ensure a hygienic, safe, and hazard-free premises for the specialist.
• Pet Containment: All household pets or animals must be safely secured away from the visit area prior to specialist arrival.
• Access Instructions: Accurate gate codes, parking instructions, or entry protocols must be provided in the booking access notes.
• Zero Tolerance for Abuse: Any verbal harassment, physical threat, or safety risk grants the specialist the right to immediately terminate the visit without refund.
4. Tiered Cancellation & Refund Policy
All bookings are governed by Agendr's standard tiered cancellation policy:
100% full refund returned to client. £0 specialist payout.
50% partial refund to client. 50% payout to specialist.
Non-refundable (0% refund). Full specialist payout.
5. Specialist Payouts, Fee Structure & Admin Withholding Rights
- Platform Convenience Fees: Agendr reserves the right to charge and adjust platform fees on transactions facilitated through the platform.
- Right to Withhold Payouts & Freeze Funds: Agendr reserves full statutory and contractual rights to withhold specialist payouts, suspend accounts, or offset earnings in cases of customer disputes, safety complaints, unverified credentials, chargebacks, fraud, or breach of these Terms.
- Discretionary Platform Interventions: Agendr reserves the unconditional right to modify, restrict, cancel, or refund any booking at its sole discretion to protect platform users, safety standards, or operational integrity.
6. Limitation of Liability (Maximum Liability Exclusion)
AGENDR OPERATES STRICTLY AS AN INDEPENDENT TECHNOLOGICAL MARKETPLACE FACILITATOR. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENDR, ITS OPERATORS, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, PERSONAL INJURY, PROPERTY DAMAGE, OR SERVICE DISPUTES ARISING OUT OF OR IN CONNECTION WITH AT-HOME SERVICES DELIVERED BY THIRD-PARTY SPECIALISTS.
IN ALL CIRCUMSTANCES, THE MAXIMUM AGGREGATE LIABILITY OF AGENDR ARISING FROM ANY BOOKING OR CLAIM SHALL BE STRICTLY LIMITED TO THE PLATFORM FEE RETAINED BY AGENDR FOR THAT SPECIFIC BOOKING OR £50 GBP, WHICHEVER IS LOWER.
7. Governing Law & Jurisdiction
These Terms, their subject matter, and formation are governed exclusively by and construed in accordance with the laws of the Bailiwick of Jersey.
You agree that the Royal Court of Jersey shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the use of the Agendr platform.
